Initial Conversation

​

During this initial exchange between the Red Lobster Partnership and you, both parties will discuss your targets, timelines and potential deal structures.

​

Determining Valuation of Company

​

Following the initial conversations, we will aim to use the information given and your vision in order to determine the guide valuation price to aim towards before presenting to the potential acquirers.

​

Formal confirmation from the seller to proceed

​

Agreement and NDA's to be drawn up and signed by both parties.

​

Initial Fact Find Documentation

​

We will provide you with an initial list of information we require in order to build an overview of your business.

​

Preparation of Information Memorandum

​

We will use the information provided to draft an Information Memorandum for your approval. This will be specifically formatted for the target purchaser.

​

Marketing Commences

​

With your approval, we then show the purchaser your Information Memorandum to look through and make a decision on.

​

Negotiation

​

Following the receipt of the Information Memorandum, we will facilitate the negotiation process in order to make sure all parties are happy with proceeding at the agreed terms.

​

Agreements and 'Heads of Terms'

​

Once the price and structure of the sale has been agreed, a draft heads of terms will be drawn up and will be signed by you and your purchaser. The heads of terms are non-binding, but provide the basis of the deal.

Post Heads of Terms

 

Once the heads of terms are signed, the purchaser will undertake more in-depth Due Diligence and the Red Lobster Partnership will be on hand to help and advise you throughout the whole process to make sure that you are at ease with all that is going on.

Completion

​

Once all requirements have been met and legal advisors have been satisfied for both parties, a completion date will be set and worked towards.

Time Scales

Although all deals are different, we aim to work to a controlled time line.

​

From the initial discussions to getting the Information Memorandum out to market, we would expect this to take up to 3 weeks.

​

At point of locating the correct buyer, we would allow up to 3 weeks in order for any agreement to be made and heads of terms to be signed.

​

Finally from this point, it would usually take between 2-3 months until completion, including gaining FCA approval for the deal.
